By accessing or using any of the Services, you hereby acknowledge, understand, and expressly assume all risks associated with the use of artificial intelligence systems in connection with digital asset markets.

BY ACCESSING THE BV-7X SERVICE(S), YOU AGREE TO THESE TERMS OF USE. THESE TERMS OF USE ARE A LEGAL AGREEMENT BETWEEN YOU AND BV LABS LTD ("BV LABS" OR "THE COMPANY") AND GOVERN YOUR USE OF THE SERVICES. BV Labs Ltd, a company organized under the laws of the British Virgin Islands, with its registered office at Intershore Chambers, P.O. Box 4342, Road Town, Tortola, British Virgin Islands, is responsible for the design, development, and operation of all front-end and back-end software comprising the BV-7X platform and Services.

In addition, when using the Services, you shall be subject to any posted guidelines, rules, or terms applicable to such Services, which may be posted from time to time. All such guidelines, rules, or terms are hereby incorporated by reference into these Terms of Use.

The services that BV Labs Ltd provides to you through BV-7X via its website located at https://bv7x.ai (the "Website"), together with the AI-powered Bitcoin signal engine, Oracle API, Daily Brief, autonomous Wager Agent, Testnet Staking, Agent Commerce, and related tools and services (collectively, the "Services") are subject to the following Terms of Use, regardless of what device is used to access the Services.

BV Labs Ltd reserves the right to update these Terms of Use at any time without notice to you. The most current version of these Terms of Use can be reviewed by visiting https://bv7x.ai/terms. The Company shall have the right at any time to change or discontinue any aspect or feature of the Services, including, but not limited to, content, access, or use.

3. Modifications to Services

The Company may change or modify the Services at any time, without notice. BV Labs Ltd will use commercially reasonable efforts to not materially reduce or eliminate any of the core functionalities of the Services, unless for scheduled maintenance or if the Company notifies you by prominently posting notice of maintenance or changes on its X (Twitter) and Telegram channels.

4. License Grant

Subject to your compliance with these Terms, BV Labs Ltd hereby grants you a single, non-exclusive, non-transferable, revocable, and limited license, personal to you, to access and use the Services. This license grant is conditioned on your acceptance and adherence to these Terms of Use. You may not license, sublicense, sell, lease, rent, or otherwise make the Services available to any third party. The Company reserves all rights not expressly granted herein.

5. No Investment Advice or Recommendations

The information provided on the BV-7X Website does not constitute investment advice, financial advice, trading advice, or any other sort of information a User should rely on before making an investment decision. The Company does not conduct any due diligence on behalf of Users with respect to any investment opportunity. Users must conduct their own due diligence and research prior to making any investment.

Nothing contained in the BV-7X Services or any other content on the Website constitutes a solicitation, recommendation, endorsement, or offer to buy or sell any securities, tokens, or other financial instruments. You understand that BV-7X is not the source of the underlying market data and does not warrant its accuracy, and does not recommend or endorse any particular trading strategy.

You hereby acknowledge, understand, and assume all risks associated with the use of the BV-7X Services, including without limitation the risk of financial loss arising from reliance on AI-generated signals or content. You alone assume the sole responsibility of evaluating the merits and risks associated with the use of the Services before making any decisions. In exchange for using the Services, you agree not to hold BV Labs Ltd, the Company's officers, directors, agents, or affiliates liable for any possible claim for damages arising from any decision you make based on information made available to you through the Services.

6. AI Accuracy & No Guarantees

BV-7X's signal methodology has achieved approximately ~61% historical backtest accuracy. Past performance does not guarantee future results. The AI model can be significantly wrong, especially during unprecedented market conditions. Model parameters, methodology, and thresholds may change without notice.

You hereby acknowledge, understand, and assume all risks associated with the inherent limitations of machine learning models, including without limitation model drift, overfitting, data latency, and unforeseen market regime changes. No guarantee is made regarding the accuracy, completeness, timeliness, or reliability of any prediction, signal, or analysis. To the maximum extent permitted by applicable law, BV Labs Ltd expressly disclaims any and all liability arising from the inaccuracy of any signal or prediction. Information displayed through the Website or API, including but not limited to price data, market signals, and confidence scores, may be subject to delays, errors, or inaccuracies for a variety of reasons outside of the Company's control.

7. Use of the Services

You agree to use the Services for lawful purposes only, and solely in a manner consistent with the intent of BV-7X as described in these Terms of Use. You agree that while using the Services, you will not engage in any activities that are in violation of any applicable laws of any jurisdiction that applies.

You agree that you will not: (i) use the Services for any purpose that is unlawful, abusive, harassing, defamatory, threatening, or hateful; (ii) upload, post, or distribute any material protected by copyright or any other intellectual property right without the permission of the owner; (iii) use the Services in connection with spam, chain letters, or any duplicative or unsolicited messages; (iv) upload files that contain viruses, trojan horses, or other malicious software; (v) harvest or collect information about other users; (vi) create a false identity for the purpose of misleading others; (vii) attempt to reverse engineer, decompile, or extract the signal methodology or any proprietary algorithms.

BV Labs Ltd reserves the right to terminate your access to the Services at any time, without notice, for any reason whatsoever, and you agree that the Company will not be liable to you or to any third party for any such termination.

8. Digital Wallet & Security

If you connect a digital asset wallet to interact with the Services (including token-gated content, testnet staking, or x402 payments), you represent and warrant that you have the requisite authority to connect the digital asset wallet to the Services. You are entirely responsible for maintaining the security of your digital asset wallet, private keys, and any associated credentials.

YOU WILL NOT HOLD BV LABS LTD OR ANY OF ITS OFFICERS, DIRECTORS, AGENTS, OR AFFILIATES LIABLE FOR ANY LOSS THAT YOU MAY INCUR AS A RESULT OF ANY MISUSE OF YOUR DIGITAL ASSET WALLET OR PRIVATE KEYS, WHETHER WITH OR WITHOUT YOUR KNOWLEDGE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL LIABILITY IN CONNECTION WITH THE SECURITY, CUSTODY, OR LOSS OF DIGITAL ASSETS.

Electronic communications through the Services may not be encrypted. You understand and acknowledge the risk that data may be accessed by unauthorized third parties when communicated electronically.

9. Oracle API & x402 Payments

The Oracle API is provided as-is with no uptime guarantee or service-level agreement. The API may be unavailable, rate-limited, or discontinued at any time without notice.

During the course of using the Services you may be required to pay fees, such as x402 USDC micropayments or network gas charges on the Base or Ethereum networks. You acknowledge and agree that the Company has no control over blockchain transaction fees, the method of payment, or actual processing of such fees.

All payments via x402 USDC micropayments are final and irreversible. No refunds will be issued for API calls, regardless of the response content or accuracy. You are responsible for paying all applicable taxes and for all third-party costs you may incur to access the Services.

The free trial tier provides up to 10 calls per day for 7 days. Trial access may be modified or removed at any time. In no way are you guaranteed access to any part of the Services by participating in any trial.

10. Wager Agent

The BV-7X Wager Agent autonomously places real USDC bets on Polymarket prediction markets based on its AI-generated signals. Users who follow, mirror, or rely on wager outcomes do so entirely at their own risk.

You hereby acknowledge, understand, and assume all risks associated with autonomous agent trading, including without limitation the risk of total loss of wagered funds, smart contract vulnerabilities, oracle manipulation, market illiquidity, and settlement disputes. BV Labs Ltd is not responsible for Polymarket platform availability, market resolution disputes, settlement delays, or any losses resulting from wager outcomes. Notwithstanding anything to the contrary herein, the Company shall bear no liability whatsoever for any action taken by the Wager Agent. You understand that you must retain your own professional counsel as appropriate to protect your interests, including legal, tax, and financial advice.

11. Testnet Staking

Testnet tokens (mBV7X, mWETH) have zero monetary value and are provided for demonstration purposes only. Testnet staking contracts may be reset, modified, or discontinued at any time without notice.

12. Token-Gated Content

Access to the Daily Brief requires holding 10M $BV7X tokens. No guarantees are made regarding the value, liquidity, utility, or future availability of the $BV7X token. Token-gating requirements may change without notice. The $BV7X token is not a security and does not represent any ownership interest, equity, or claim on revenue.

13. Third-Party Services

The BV-7X Services include integrating services of third-party providers including Polymarket, Base chain, Uniswap, CoinGecko, ERC-8004 registries, and others. You agree that BV Labs Ltd is not responsible for such services of these third-party providers. The Company's inclusion of such third-party providers should not be construed as an endorsement of the services offered by such third-party providers.

You agree that your use of the Website to access or integrate a third-party provider's services is at your own risk, and that you will review and comply with any terms of use or privacy policies that pertain to such third-party providers. The Company makes no representations about the legitimacy, availability, suitability, security, or reliability of third-party services, as it has no control over such services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BV LABS LTD, ITS OFFICERS, DIRECTORS, AFFILIATES, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, OR PROVIDING THE SERVICES, BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT WILL BV LABS LTD OR ITS AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY TORT, CONTRACT, OR ANY OTHER LIABILITY ARISING IN CONNECTION WITH THE USE OF THE SERVICES, OR RELIANCE ON ANY INFORMATION OR SERVICES PROVIDED BY THE COMPANY. Because some jurisdictions prohibit the limitation of liability for consequential or incidental damages, in such jurisdictions the limitation of liability only with respect to consequential or incidental damages may not apply to you, and the respective liability is limited to the greatest extent allowable under applicable law in those jurisdictions.

Notwithstanding anything to the contrary herein, in the event that a court or arbitration panel should hold that the limitations of liabilities set forth in these Terms of Use are unenforceable for any reason, you expressly agree that under no circumstances will the total, aggregate liability of BV Labs Ltd and its officers, directors, agents, and affiliates, to you or any party claiming by or through you for any cause whatsoever, exceed $100 USD (one hundred United States dollars), regardless of the form of action and whether in contract, statute, tort, or otherwise.

All content, signals, models, methodologies, and software on bv7x.ai are proprietary to BV Labs Ltd. You may not resell, redistribute, republish, or commercially exploit any content or API data without the Company's prior written permission.

The term BV-7X, along with any associated logos, are trademarks of BV Labs Ltd, all rights reserved. All other trademarks appearing on the Website or within the Services are the property of their respective owners.

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless BV Labs Ltd, the Company's officers, directors, partners, affiliates, and each of their agents and contractors, from and against any and all losses, liabilities, claims, demands, damages, costs, and expenses, including without limitation reasonable attorney's fees and reasonable costs of investigation, arising out of or relating to: (a) your use of the Services or the Website; (b) your conduct in connection with the Services or with other users of the Services; (c) any violation of these Terms of Use or of any applicable law or regulation; (d) any violation of the rights of any third party; or (e) any information or content you submit, post, or transmit through the Services.

19. Governing Law & Arbitration

Except to the extent applicable law provides otherwise, these Terms of Use and any access to or use of the BV-7X Services will be governed by the laws of the British Virgin Islands, without regard to conflict of laws rules thereof.

Any dispute, controversy, or claim arising out of, or in relation to, these Terms, including regarding the validity, invalidity, breach, or termination thereof, shall be resolved by binding arbitration in accordance with the BVI Arbitration Act 2013. The number of arbitrators shall be one; the seat of the arbitration shall be the British Virgin Islands (unless the parties mutually agree on an alternative location), and the proceedings shall be conducted in English. The arbitrator shall, in the arbitral award, allocate all or part of the costs of the arbitration, including the fees of the arbitrator and reasonable attorneys' fees of the prevailing party, for payment by the non-prevailing party.

The parties further agree that (i) any claims brought by either party must be brought in such party's individual capacity and not as a plaintiff or class member in any purported class or representative proceeding, and (ii) the arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding or award class-wide relief.

BV Labs Ltd shall have the right to immediately terminate your access to the Services in the event of any conduct by you that the Company, in its sole discretion, considers to be unacceptable, or in the event of any breach by you of these Terms of Use. You will not receive refunds for any payments previously made. The Company will not be liable to you or any third party for any termination of your access to the Services.

These Terms may be updated at any time without prior notice. The "Last updated" date at the top of this page will reflect the most recent revision. Continued use of the Site after any changes constitutes acceptance of the updated Terms. BV Labs Ltd reserves the right to make changes and corrections to the Services and these Terms of Use at any time, without notice.

If any provision of these Terms of Use is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect, and the invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision hereof.

No failure or delay by BV Labs Ltd in exercising any right, power, or remedy under these Terms of Use shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. No waiver shall be effective unless made in writing and signed by an authorized representative of the Company.

BV Labs Ltd may assign, transfer, or delegate any of its rights and obligations under these Terms of Use without your consent, including without limitation in connection with a merger, acquisition, reorganization, or sale of all or substantially all of the Company's assets. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of the Company. Any purported assignment in violation of this section shall be null and void.

BV Labs Ltd shall not be liable for any failure or delay in performing its obligations under these Terms of Use where such failure or delay results from causes beyond the Company's reasonable control, including without limitation: acts of God; natural disasters; pandemic or epidemic; war, terrorism, or civil unrest; government actions or regulatory changes; blockchain network outages or congestion; smart contract exploits or vulnerabilities; distributed denial-of-service attacks or other cyberattacks; failure of third-party infrastructure providers; power outages; or any other force majeure event. During the continuance of such event, the Company's obligations shall be suspended to the extent necessitated by such event.

These Terms of Use, together with any supplemental terms, policies, and guidelines referenced herein or published by BV Labs Ltd on the Website from time to time, constitute the entire agreement between you and the Company concerning the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof.
